SUBSTRATE NETWORK TERMS

Upekrithen LLC (Wyoming), owner of the Software, and Liana Banyan Corporation (Wyoming), which licenses it under its agreement with Upekrithen LLC, together “Licensor”. Version 1.0, effective with Mnemosyne v0.9.31.

These terms govern every connection to the Substrate Network. They are separate from, and in addition to, the Mnemosyne Cooperative Source License 2.0 (LICENSE.md) and any Cooperative Endorsement Commercial License (COMMERCIAL_LICENSE.md). Capitalized terms not defined here have the meaning in LICENSE.md.

1. What the Substrate Network is

The Substrate Network is the live mesh of nodes, peer servers, the MIC channel, pheromone routing, card and eblet sharing, and any federation service operated by Licensor or by cooperative members under these terms. Connecting to it is use of a service. It is not a distribution of software, and no copy of the Software, under any license version, carries a right to connect. “Network Material” means every card, eblet, index, routing result, provenance record, receipt, answer, and item of metadata, and any other material, that a node receives from or through the Substrate Network.

2. Who may connect

(a) Cooperative-Class Users may connect, at no charge and under these terms, only for their own use that is not Commercial Use. A Cooperative-Class User may not operate a node, proxy, gateway, API, relay, shared account, managed service, or any other access path for the benefit of a person or entity engaged in Commercial Use, and may not pass Network Material to such a person or entity for Commercial Use.

(b) Everyone else may connect only while a Cooperative Endorsement Commercial License, on either Track 1 (Starter) or Track 2 (Enterprise or Provider), is in effect and not suspended, and only within its Scope. This applies whatever license version the connecting node’s software was received under. Any person or entity that receives, routes, relays, queries, or uses Network Material for or in the course of Commercial Use must hold a Commercial License that covers that use, whether or not it connects itself.

(c) Connecting, querying, or federating with the Substrate Network other than under (a) or (b), or obtaining Network Material through another node’s connection other than under (a) or (b), is unauthorized access to a service.

3. Conduct on the network

A connecting node must:

(a) enroll with its real operator identity, stating whether it connects as a Cooperative-Class User or under a Commercial License, and sign its requests with its own enrolled key. A node credential is personal to the enrolled operator, non-transferable, and may not be shared, delegated, sublicensed, or used by an Affiliate, contractor, customer, or other third party unless that party is itself enrolled and authorized;

(b) not impersonate another node, replay or alter another node’s signed traffic, or strip provenance from cards or eblets it receives;

(c) not use material received over the network to train, fine-tune, distill, or evaluate for release any AI model offered commercially, except under a Commercial License that covers it;

(d) not probe, overload, or attempt to defeat the network’s refusal and signing controls;

(e) accept these terms, as versioned and dated, at enrollment by an affirmative act (a checked acceptance, not mere use); enrollment is refused without acceptance. For each enrollment Licensor keeps: the operator’s legal name; the natural person who accepted and the authority claimed; the date and time; the account and credential identifiers and the network address; the version and hash of these terms as accepted and a copy of the text served; the class claimed under Section 2 and any eligibility attestation. Licensor issues, rotates, and revokes node credentials, and records the telemetry needed to run the network (node identity, request signatures, refusal and routing events).

4. Disconnection

Licensor may refuse or end any connection that does not meet these terms, including every node of a Commercial Licensee whose Commercial License is suspended, not renewed, or ended, and every node of a Track 1 Starter Licensee after its notice period ends, including the notice period that follows its annual AI spend reaching USD 1,000,000 when it has not signed a Track 2 Commercial License (Commercial License 3B(g)). Disconnection is not a waiver of any other remedy.

5. What you share, and what you keep

Material a node shares to the network is shared under the license of the tree it came from and the provenance recorded with it. A node’s owner keeps whatever rights it had in its own material. Licensor makes no promise that any node, including Licensor’s, stays online, keeps any shared material, or returns any particular answer.

6. No warranty, limited liability

The Substrate Network is provided “as is”. LICENSE.md Part VI (warranty disclaimer and liability cap) applies to it. Licensor makes no representation about the network’s performance, availability, cost, accuracy, or savings.

7. Changes

Licensor may update these terms by publishing a new version at mnemosynec.ai/network. For a Track 2 Commercial Licensee, a change does not apply during its Initial Term to the extent it would be to that Licensee’s detriment, without its written agreement. For a Track 1 Starter Licensee, a change that would be to its detriment takes effect no sooner than thirty (30) days after Licensor gives it notice of the change, so that it may end its Starter plan first [COUNSEL].
